General information about OJSC «Territorial Generation Company №11»

OJSC «Territorial Generation Company № 11» (OJSC «TGC—11») is created during reforming of Russia power branch and unites generating capacities of Omsk and Tomsk areas.

OJSC «TGC—11» it is founded according to the decision of Board of directors of OJSC RAO «UES of Russia» (Report № 199 from 01 July 2005) by establishment of OJSC RAO «UES of Russia» of an associated company. OJSC RAO «UES of Russia» is the unique shareholder and has 100 % of OJSC «TGC—11» shares. The state registration of the company was on 26 August 2005.

Creation of the territorial generating companies is the major stage of reforming of Russian power. During division of uniform regional Joint-stock energy companies by kinds of activity (generation, a network facilities, energy retail) are formed the large inter-regional companies uniting generating actives of the regional power companies. The territorial generating companies are called to become the effective financial stable large societies, which capable function successfully in the competitive wholesale market of the electric power, and also in sphere of a heat supply of consumers.

The whereabouts of OJSC «TGC—11» is Novosibirsk.

However activity of OJSC «TGC—11» is carried out in territory of three subjects of the Russian Federation such as Omsk, Tomsk and Novosibirsk areas that in turn defines inter-regional value of company activity.

Such geography of OJSC «TGC—11» activity in many aspects is caused by included in its configuration Societies, because of OJSC «TGC—11» is created on the basis of generating capacities of OAO «Omsk Electricity Generation Company» and OJSC «Tomskenergo» on territory of Omsk and Tomsk areas.

Main principle of formation of operational company OJSC «TGC—11» is joining to it of the societies included in its configuration. Shareholders of these Societies will accept decision on integration of OAO «Omsk Electricity Generation Company» and OJSC «Tomskenergo» in OJSC «TGC—11» in 2007.

OJSC «TGC—11» is one of the largest heat power companies of Siberia. The societies that are included in a configuration of OJSC «TGC—11» are engaged in manufacture of electric and thermal energy and also realization of heat (pair and hot water) to consumers. Thus, under the control of the company there are 4 CHPP, 1 SDPP (Tomsk), 2 boiler-houses, 2 enterprises of heat networks. The general installed electric capacity of the enterprises controlled by OJSC «TGC—11» is 2026 MW; general heat power capacity is 8241 giga calories, general extent of heat networks is 806 km. Average number for 2006 of OJSC «TGC—11» makes 144 persons, OJSC «Omsk Electricity Generation Company» is 2805 person, OJSC «Tomskenergo» is 1714 person.

The basic kinds of activity:

The basic kinds of OAO «TGC—11» activity at a transitive stage (till to the beginning of operational activity) is realization of authorities of operating agency in joint-stock and other economic societies, asset management of property, rendering of consulting services; realization of operations with securities, realization of agency activity, and other activity provided by the Charter of the Society. According to the current legislation of Russian Federation, activity of the company is not subject to licensing.

At general shareholders meetings of «Omsk Electricity Generation Company» (Report from 24 October 2005) and OJSC «Tomskenergo» (Report № 18 from 12 October 2005) are accepted decisions on transfer of authority of an individual operating agency to OJSC «TGC—11». 15 November 2005 in the performance of the above-stated decisions between OJSC «TGC—11» and OAO «Omsk Electricity Generation Company», OJSC «Tomskenergo» are made two-sided contracts, in accordance with contract, OJSC «TGC—11» as the managing organization has taken up realization fixed by the Society Charter, by other local documents of the Society and the current legislation of the Russian Federation of powers of an individual agency of the Society (General director) in the order and on the conditions determined by the contract.

The basic duties assigned to OJSC «TGC—11» according to the contract about transfer of authority of an individual agency:

· To provide reforming RGK according to decisions of Society controls;

· To provide observance about the distribution of the profit, established by General shareholders meeting and Board of directors RGK, achievement established for RGK key parameters of efficiency (КПЭ), profit earning RGK;

· To provide observance of legality of activity RGK, to provide financial and contractual discipline in RGK performance of plans of activity RGK necessary for the decision of its tasks;

· To provide realization RGK of authorized activity according to purposes RGK, including:

o To provide production, delivery (sale), RGK electric and thermal energy according to the set schedules;

o To provide rendering services RGK on realization of energy for supplying organizations according to the made contracts;

o To organize power supply RGK of the consumers connected to its networks according to made contracts;

o To provide delivery of fuel, creation and maintenance of normative stocks of fuel in RGK in the volumes necessary for performance of the task on working capacity and manufacture of energy according to authorized balance of energy;

o To provide (effective) participation RGK in controllable, competitive and balancing sectors of the power market in a view of increase of Society efficiency;

o To provide operation of power equipment RGK according to working normative requirements, carrying out of duly and qualitative repair, modernization and reconstruction of power objects, and also development of a power supply system

For the control over realization of the above-stated tasks the Managing organization quarterly gives report to Board of directors RGK.

At the end of 2005 the new direction of OJSC «TGC—11» activity was defined. On the basis of contracts with OJSC RAO «UES of Russia», OJSC «TGC—11» carries out asset management of shares of OJSC «Omsk Power Retail Company» (contract from 08 January 2005) and Open Society «Tomsk Power Retail Company» (contract from 07 January 2005).

The purpose of the conclusion of the specified contracts is maintenance of financial stability of power retail companies.

Into duties of OJSC «TGC—11» as asset manager are following:

· To carry out personally the set of rights fixed by belonging to OJSC RAO «UES of Russia», in volume and on the conditions provided by the Contract.

· To make all necessary actions directed on achievement of the purposes of the present contract;

· To provide monthly uniform execution of ЭСК obligations before the infrastructures organizations and other subjects of the wholesale and retail market of the electric power, including the network companies;

· To provide 100 % execution of ЭСК obligations to address of the infrastructures organizations and other subjects of the wholesale and retail market of the electric power, including the network companies, on results of quarter according to conditions of contracts with them;

· To provide 100 % a level of payment for supplied (minus size of losses) ЭСК electric energy in corresponding quarter (including supplied to consumers, energy supplying/energy retail, to network and other organizations);

· To provide ЭСК execution of the established target values of key parameters of efficiency and control parameters of activity;

· To provide timeliness of repayment of re-structured debts ЭСК;

· To provide delivery of guarantee TGC (or regional generation companies), or assistance in giving guarantees by the credit organizations under obligations corresponding ЭСК at the infrastructures organizations, suppliers of the electric power — participants of the wholesale market of the electric power, the network companies in case of acceptance by the Founder of management of the decision on necessity of such guarantee.

Besides, under contracts of asset management of OJSC «TGC—11» are got rights on participation in management ЭСК, among which organization of activity of representatives of OJSC RAO «UES of Russia» in Boards of directors and general meetings of shareholders ЭСК.
