History of OAO «Territorial Generation Company ¹ 11» creationOAO “TGC-11” is founded according to the decision of Board of directors of OAO RAO “UES of Russia” from 01 July 2005 (Report ¹ 199) and also on the basis of the issued Order of Chairman of the Management Board of OAO RAO “UES of Russia” from 22 August 2005 ¹ 195ð « About establishment of OAO “TGC-11.
In the performance of the above-stated decisions and organizational-administrative documents on 26 August 2005 Inspection of Federal tax service on the Central area of Novosibirsk had been carried out the state registration of OAO “TGC-11” as legal person (Certificate on the state registration of OAO “TGC-11” ). The society has been put on the tax account in established order (the Certificate on statement on the account of OAO “TGC-11” in tax body).
The only founder of OAO “TGC-11” is OAO RAO “UES of Russia”. Release of securities of the Society placed at establishment to the unique founder, is registered ÐÎ ÔÑÔÐ in the Siberian federal district (Notice on the state registration of release, Decision on a share issue, Report on results of release of securities).
Formation of OAO “TGC-11” is the intermediate stage of long-term structural reform of Omsk and Tomsk areas power branch.
The target model of function OAO “TGC-11” stipulates the formation of the integrated operation company by reorganization either OAO “TGC-11” or RGC included in its configuration:
Extraordinary general meetings of OAO “Omsk Electricity Generation Company » and OAO “Tomskenergo” were heed on 24.08.2007, where the following decision about their reorganization by the integration with OAO “TGC-11” was made. The decision about the reorganization OAO “TGC-11” by takeover of OAO “Omsk Electricity Generation Company » and OAO “Tomskenergo” was made 03.09.2007 by authorized board of the unique shareholder OAO “TGC-11 the board of directors” OAO RAO “UES of Russia” fulfilling the function of extraordinary general meeting of shareholders (minutes of board of directors OAO RAO “UES of Russia” of 03.09.2007 ¹ 1733 pr/1).
01.11.07 the recording of stopping functioning of OAO "Omsk Electricity Generation Company" and OAO “Tomskenergo” by joining with OAO “TGC-11” was amended in Integrated Public Register of legal entity.
According to the order of FSFR Russia of 30.10 ¹ 07-2582/pz-I it was carry out public registration of extra editions and the prospect of common nominal without documentary shares OAO “TGC-11” placed by convertation during joining of OAO “Omsk Electricity Generation Company » and OAO “Tomskenergo” (Notification of the public registration of extra editions).
11.12.2007 shares of OAO “TGC-11” were admitted to the auction of OAO “RTS”.
Extraordinary general meeting of shareholders of OAO “TGC-11” of 11.12.2007 made a decision to increase the authorized capital stock of OAO “TGK-11” by placing extra common normal without documentary shares in terms of 181 mlrd issues of par value one kopeck each (the record EGM OAO “TGC-11” ¹ 1 of 11.12.2007).
